1. Agreement to Terms

By accessing or utilizing the website https://www.gempin.net ("GemPin", "Platform"), including our global directory, map navigation, profile creation, and associated communication utilities, you enter into a legally binding agreement with xBlackRock (Pvt) Ltd (Company Registration No: PV00371872), a private limited liability company duly incorporated under the Companies Act No. 7 of 2007 of the Democratic Socialist Republic of Sri Lanka, with its registered office at 140/1/1, Colombo Road, Ratnapura, Sri Lanka, as the sole legal owner and operator of GemPin.net.

If you disagree with any segment of these Terms, you must immediately discontinue use of the platform and delete any active account or directory listings.

2. Platform Scope & Role

GemPin.net functions strictly as a global directory and discovery index connecting the worldwide gem and jewelry industry, including gemstone dealers, lapidaries, gemological labs, miners, jewelry artisans, and collectors.

3. Account Registration & Authenticity

To submit listings or place a pin on our interactive map, you must register an account. You agree to:

• Provide true, accurate, current, and verifiable information regarding your identity, business entity, and physical operating location.
• Maintain the confidentiality of your login credentials and accept responsibility for all activities occurring under your account.
• Promptly notify GemPin administrators at [email protected] upon discovering any unauthorized account breach.

4. Prohibited Conduct & Listing Integrity

To protect the integrity of the global gemstone trade, GemPin enforces a strict zero-tolerance policy against deceptive or illicit practices. You agree NOT to:

5. Intellectual Property Rights

Proprietary Assets: The GemPin.net trade name, trademarks, logos, custom graphics, source code, interactive map user interface, algorithmic clustering, and backend software architecture are the exclusive intellectual property of xBlackRock (Pvt) Ltd, protected under the Intellectual Property Act of Sri Lanka and international treaties.

User-Contributed Content: You retain ownership of all photographs, trademarks, and descriptions you upload. By submitting content to GemPin, you grant xBlackRock (Pvt) Ltd a worldwide, non-exclusive, royalty-free license to display, resize, cache, and distribute said media solely for operating the directory and map.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, XBLACKROCK (PVT) LTD, GEMPIN.NET, ITS DIRECTORS, SHAREHOLDERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Financial losses arising from gemstone purchases, sales, or trade negotiations conducted with listed directory members.
• Inaccuracies regarding member addresses, telephone numbers, gemstone descriptions, or laboratory results posted by third-party members.
• Temporary service interruptions, map tile rendering delays, or server maintenance downtimes.

7. Termination & Directory Moderation

xBlackRock (Pvt) Ltd reserves the unilateral right, without prior notice or liability, to suspend, ban, or permanently delete any profile, member pin, or user account that violates these Terms, receives validated fraud complaints from law enforcement or industry regulatory bodies, or undermines the trust and safety of our community.

8. Governing Law & Dispute Resolution

These Terms shall be governed, construed, and enforced exclusively in accordance with the substantive laws of the Democratic Socialist Republic of Sri Lanka, including the Companies Act No. 7 of 2007, without regard to conflict of law principles. Any legal suit or proceeding arising out of these Terms shall be instituted exclusively in the competent courts situated in Ratnapura or Colombo, Sri Lanka.
